The formation and subsequent re-structuring of Gran Tierra in 2005 has brought together the original shareholders of the former Gran Tierra Energy Inc. (Canada), the initial shareholders of the former Goldstrike Inc., and investors in associated private placements.

Prior to November 10, 2005, shareholders of the former Gran Tierra (a Canadian company) would have chosen to receive shares of Goldstrike (now re-named Gran Tierra Energy) or shares of Gran Tierra Goldstrike Inc. (an Alberta subsidiary of Goldstrike) which are equivalent to Goldstrike shares. The Gran Tierra Goldstrike Inc. shares are exchangeable shares; a shareholder wishing to sell his/her shares would initiate a process whereby the Gran Tierra Goldstrike Inc. shares would be exchanged for shares in Goldstrike. Holders of exchangeable shares should contact the company if they wish to exchange these shares.
